Many corporations and other entities, including LLCs and LPs, are organized under Delaware law. Delaware also is the home of the Court of Chancery, an equity court with expertise in handling corporate and other entity disputes under Delaware law.
Macauley LLC represents clients when corporate disputes arise either with the entity or other interest holders. We represent minority shareholders, LLC members or limited partners in disputes with the corporation, the LLC or the LP or the majority shareholder, managing member or general partner, as the case may be.
Macauley LLC also represents directors and officers of Delaware corporations facing litigation. We defend them against allegations of breach of fiduciary duty, whether the allegations have been made by a shareholder in the Court of Chancery or a trustee in bankruptcy court. Also, we seek advancement or indemnification of fees and expenses from the corporation in order to fund the defense.
